Terms of Service

1. Agreement to Terms

By accessing or using The Strategy Factory ("TSF," "we," "our," or "us") website, Discord community, signal service, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

These Terms constitute a legally binding agreement between you and The Strategy Factory. Your continued use of the Service following any updates to these Terms constitutes acceptance of those changes.

2. Service Description

The Strategy Factory provides algorithmic trading signals for futures markets, specifically E-mini Nasdaq 100 (NQ), Gold (GC), and Micro Silver (SIL) futures contracts. Signals are generated by proprietary algorithms and delivered in real time via our Discord server.

The Service is provided for educational and informational purposes only. Signals include entry price, stop-loss level, and take-profit targets. The Service does not execute trades on your behalf — all trading decisions and execution are your sole responsibility.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Understand the risks associated with futures trading, including the risk of substantial financial loss
• Not be located in a jurisdiction where accessing such services is prohibited or restricted
• Have the legal capacity to enter into a binding agreement

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Subscription & Billing

Access to premium features of the Service requires a paid subscription, managed through our payment processor.

• Pro Tier: $100/month (standard rate); $79/month (founding member rate — locked in for the duration of your continuous subscription)
• Elite Tier: $249/month (coming soon)

Subscriptions are billed on a recurring monthly basis. You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period — no partial refunds are issued for unused time within a billing cycle.

We reserve the right to modify pricing with 30 days' notice to active subscribers. Founding member pricing is honored for the duration of continuous, uninterrupted subscription.

5. No Financial Advice Disclaimer

The Strategy Factory is not a registered investment advisor, broker-dealer, or financial planner. Nothing provided through the Service — including signals, commentary, educational content, or performance data — constitutes personalized investment advice, a recommendation to buy or sell any security, or an offer to transact in any financial instrument.

All signals are generated algorithmically and are provided for informational and educational purposes only. You are solely responsible for your own trading decisions, including whether to act on any signal, how to size positions, and how to manage risk.

You should consult with a qualified financial advisor before making any investment decisions.

6. Intellectual Property

All content, algorithms, trading methodologies, signal logic, software, website design, and related materials are the exclusive property of The Strategy Factory and are protected by applicable intellectual property laws.

You may not:

• Reverse engineer, decompile, or attempt to derive the algorithms or logic behind our signals
• Copy, reproduce, or create derivative works based on our proprietary content
• Use our intellectual property for any commercial purpose without written permission

7. Acceptable Use

You agree not to:

• Redistribute, resell, or share signals with non-subscribers
• Share your account credentials or allow others to access the Service through your account
• Use automated tools, bots, or scrapers to extract data from the Service
• Disrupt the Service or interfere with other users' access
• Use the Service for any unlawful purpose

Violation of these terms may result in immediate termination of your account without refund.

8. Limitation of Liability

To the maximum extent permitted by law, The Strategy Factory shall not be liable for any trading losses, financial damages, or other losses arising from your use of the Service.

This includes, without limitation:

• Losses resulting from acting on signals
• Losses due to signal delays, technical failures, or service interruptions
• Losses due to slippage, execution differences, or broker-related issues
• Indirect, incidental, consequential, or punitive damages of any kind

The Service is provided on an "as-is" and "as-available" basis. Our total liability to you for any claim arising from the Service shall not exceed the amount you paid for the Service in the three (3) months preceding the claim.

9. Disclaimer of Warranties

The Strategy Factory makes no warranties or guarantees regarding:

• The accuracy, reliability, or timeliness of any signal
• The profitability of any trading strategy or signal
• Uninterrupted or error-free operation of the Service
• The suitability of the Service for your particular financial situation

Past performance is not indicative of future results. Simulated or backtested performance does not guarantee future profitability. Market conditions change, and strategies that performed well historically may not continue to do so.

10. Indemnification

You agree to indemnify, defend, and hold harmless The Strategy Factory, its owners, operators, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, including but not limited to violations of these Terms or the Acceptable Use policy.

Upon termination for cause (e.g., redistribution of signals, sharing access), no refund will be issued. If we terminate your account without cause, a prorated refund for the remaining days in your billing cycle may be issued at our discretion.

You may cancel your subscription at any time through your account dashboard. Sections regarding limitation of liability, indemnification, intellectual property, and disclaimers survive termination.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Nebraska.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify subscribers via Discord or email and update the "Last Updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
